Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the MileShield mobile application ("MileShield" or the "App"), provided by Zulu Technology LLC ("Zulu Technology," "we," "us," or "our"). By downloading, installing, or using MileShield, you agree to these Terms. If you do not agree, do not use the App.

These Terms form a binding contract between you and Zulu Technology LLC, a California limited liability company.

2. What MileShield Is — And What It Is Not

MileShield is a software tool that helps independent contractors track business mileage, capture receipts, log earnings, and generate reports formatted for IRS Schedule C filing.

MileShield is not:

• A tax preparation service
• A tax advisor, accountant, or licensed tax professional
• A legal advisor
• A financial advisor or accounting firm
• A substitute for professional tax, legal, or accounting advice

The App provides organizational tools and calculations based on data you provide and IRS-published mileage rates. It does not file taxes on your behalf, advise you on your tax position, or guarantee any particular tax outcome.

You are solely responsible for the accuracy of your tax filings, your compliance with tax law, and any tax liability you incur.

3. Eligibility

To use MileShield, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Be engaged in independent contractor or self-employed work for which mileage and expense tracking is relevant (such as rideshare, delivery, or other 1099 work)
• Have the legal authority to enter into these Terms

If you do not meet these requirements, do not use the App.

4. Your Account and Responsibilities

You do not need a username or password to use MileShield's core functionality, as your data is stored on your device. However:

• You are responsible for maintaining the security of the device on which MileShield is installed.
• You are responsible for the accuracy of all data you enter, including mileage, payouts, and receipts.
• You are responsible for backing up your data through iCloud or other means.
• You may not use the App for any unlawful purpose, including misrepresenting business mileage to tax authorities.

5. Subscription Terms

MileShield offers a free tier and a paid subscription tier ("MileShield Pro").

5.1 Free Tier

The free tier includes core mileage tracking and the Tax Shield dashboard. Certain features, including the Schedule C export and unlimited cloud backup of receipts, require an active Pro subscription.

5.2 Pro Subscription

MileShield Pro is offered on a monthly or annual basis at the prices displayed in the App Store. Subscription fees are charged through your Apple ID and managed by Apple.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.

5.4 Cancellation

You may cancel your subscription at any time by going to your Apple ID Settings → Subscriptions on your iPhone. Cancellation takes effect at the end of the current billing period; you will retain access to Pro features until that time. Zulu Technology cannot cancel your subscription on your behalf.

5.5 Refunds

All subscription purchases are processed by Apple and subject to Apple's refund policies. Zulu Technology does not directly issue refunds. To request a refund, contact Apple Support at reportaproblem.apple.com.

5.6 Price Changes

We may modify subscription prices. If we do, we will notify you in advance, and you will have the opportunity to cancel before the new price takes effect. Continued use after a price change indicates acceptance.

6. Acceptable Use

You agree not to:

• Use the App for any illegal purpose, including tax fraud or evasion
• Reverse-engineer, decompile, or attempt to extract the source code of the App
• Use automated tools, bots, or scripts to interact with the App
• Resell, sublicense, or redistribute the App
• Attempt to circumvent subscription paywalls or other technical restrictions
• Use the App in a manner that could damage, disable, or impair our services or those of any third party

7. Intellectual Property

7.1 Our Property

MileShield, its design, code, branding, and all related intellectual property are owned by Zulu Technology LLC. We grant you a limited, non-exclusive, non-transferable license to use the App for your personal business purposes in accordance with these Terms.

7.2 Your Data

You retain ownership of all data you enter into the App, including your mileage records, payouts, and receipts. We do not claim any ownership interest in your data.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. ZULU TECHNOLOGY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• Mileage tracking will capture every mile or be accurate to any specific tolerance
• Tax calculations will match the calculations performed by a licensed tax professional or the IRS
• The App will be compatible with future iOS versions or device models

9. Tax Accuracy Disclaimer

This section is critical and you should read it carefully.

MileShield calculates tax-related figures based on:

• Mileage data captured by your iPhone's GPS, which may be incomplete or inaccurate due to signal issues, device limitations, or user error
• Payout amounts you manually enter, which may contain typos or omissions
• Receipt data extracted via OCR, which may misread amounts or dates
• IRS standard mileage rates as published by the Internal Revenue Service, which may change

You are responsible for:

• Reviewing all data captured by the App for accuracy before using it for tax purposes
• Verifying calculations independently or with a qualified tax professional
• Maintaining backup records as required by IRS contemporaneous record-keeping rules
• Ensuring your tax filings comply with applicable federal, state, and local law

Zulu Technology is not responsible for any tax penalties, interest, audit findings, or other adverse outcomes resulting from your use of the App or reliance on its calculations. If you are uncertain about your tax obligations, consult a Certified Public Accountant or licensed tax preparer.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZULU TECHNOLOGY LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOST PROFITS, LOST REVENUE, OR LOST DATA
• TAX PENALTIES, INTEREST, OR ASSESSMENTS
• AUDIT-RELATED COSTS OR PROFESSIONAL FEES
• ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE APP

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Zulu Technology LLC, its members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any applicable law, including tax law
• Your infringement of any third party's rights

12. Termination

We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the App ceases immediately, but data stored on your device remains yours.

You may terminate these Terms at any time by deleting the App from your device and cancelling any active subscription.

Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the App shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

You and Zulu Technology agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

14. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you through the App and update the "Last updated" date at the top of this page. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zulu Technology regarding the App.
• Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
• No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
• Apple as Third-Party Beneficiary: You acknowledge that Apple is a third-party beneficiary of these Terms with respect to the App distributed through the App Store, and Apple has the right to enforce these Terms against you.
